I was wondering if its possible to convert the audio of a video clip to MP3 only using ffdshow script or do I need to download a MP3 codec ? and if so what does the script look like ? and/or where can I download the MP3 codec ? only the mp3 codec because I do not like Large codec collections.

If Windows Media Player is installed on your Windows computer, then the MP3 decoder/encoder should be available in VirtualDub > Audio > Compression... as "MPEG Layer-3".
The file is C:\Windows\System32\L3codecp.acm
N.B. : If Compression... is grayed out in the menu, then you should first select in the Audio-menu > Full Processing Mode.

If Windows Media Player is NOT yet installed, you can follow the instructions here (should be similar for Windows Media Player 12):

When you open an AVI in VirtualDub, you can best first check which audio-codec has been used, via File-menu > File Information.

If you see that the Audio compression is already MP3, then you can select "Direct Stream Copy" in the Audio-menu:
> now click the File-menu > Save WAV... The MP3 audio will directly be written to a new file (without re-encoding).

If you see that the Audio compression is NOT MP3, then you should select "Full Processing Mode" in the Audio-menu and, via Compression..., select the MPEG Layer-3 encoder and the bitrate that you prefer.
> now click the File-menu > Save WAV... The audio will be re-encoded to MP3 and the new file will be written.

I have windows media installed, but when I load the video which is in PCM audio , the audio compression does not let me change the bit rate for converting to MP3- see screen shot - http://w1funurl.webs.com/vd-audio.jpg

what have I missed ?

Did you install VirtualDub 1.9.11, 32-bit or 64-bit ?
Video- and Audio- codecs should be of equal bit range as your VirtualDub installation.
